Liability Waiver
WAIVER, RELEASE, INDEMNITY AGREEMENT AND SUBLEASE AGREEMENT PLEASE READ CAREFULLY BEFORE SIGNING. THIS IS A RELEASE OF LIABILITY WAIVER OF CERTAIN LEGAL RIGHTS AND A PER DAY LEASE. THIS SUBLEASE AGREEMENT (“Sublease”) made this __________, (“Effective Date”) by and between The Office-A Private Social Club LLC, a Colorado limited liability company, whose address is 6886 S. Yosemite St., Centennial, Colorado 80112 (“Sublessor”) and the undersigned, an individual, (Sublessee”). Sublessor and Sublessee are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. LEASE/LOCATION. Sublessor hereby subleases to Sublessee on the terms and conditions set forth herein. The real property subject to this Sublease has a street address of 6886 S. Yosemite St., Centennial, Colorado 80112 (“Property”), and the real property subject to this is Sublease is contained in the Property and is located at 6886 S. Yosemite St., Centennial, Colorado 80112 (“Unit”), including all common areas of the Property (together with the Unit, the “Subleased Premises”). Common Areas may be furnished and contain other personal property provided by Sublessor and/or Landlord in their sole and absolute discretion. Nothing contained herein shall prohibit Sublessee from furnishing, and providing other personal property in, the non-Common Area of the Subleased Premises. PERMITTED USE. Sublessee shall use and occupy the Unit as office space and in accordance with Sublessor’s Code of Conduct, attached hereto as Exhibit A and made an enforceable part hereof (“Permitted Use”). Sublessee shall not (i) use or occupy the Property or Subleased Premises for any illegal purpose, (ii) consume or smoke tobacco or marijuana products of any kind on the Property or Subleased Premises, or (iii) exhibit any inappropriate behavior (as determined by Sublessor in its sole and absolute discretion) on the Property or in Common Areas. Sublessee shall execute the corresponding Code of Conduct encompassed herein, Exhibit A. TERM. The Sublease term shall be 8 hours, from the Effective Time hereof (“Term”). RENT AMOUNT. Sublessee shall pay Sublessor as rent ______________________ and No/100 Dollars per _________ term. ACCESS. Sublessee shall have access to the Subleased Premises at all times during the Term. Sublessee shall have vehicle access to the Property and vehicle parking on the Property to the extent parking spaces are available (Sublessor does not guarantee the availability of parking spaces on the Property), and it shall be Sublessor’s responsibility to maintain at all times the ingress and egress road to the Property not otherwise maintained by the applicable governmental authority or agency. REPAIRS. Sublessee accepts the Unit in its current condition, subject to all recorded matters, laws, ordinances, and governmental regulations and orders. ASSIGNMENT AND SUBLETTING. Sublessee may not assign this Sublease or sub-sublease the Subleased Premises without the prior written consent of Sublessor and Landlord, which consent Sublessor and/or Landlord may withhold in their sole and absolute discretion. SURRENDER Upon the expiration of the Sublease Term by termination of Sublessee’s right of possession, Sublessee shall surrender the Subleased Premises to Sublessor in the same condition as received, broom clean, ordinary wear and tear excepted. EVENTS OF DEFAULT. Each of the following events shall be an event of default (“Event of Default”) by Sublessee under this Sublease: Sublessee fails to abide by the Code of Conduct and access is terminated for said failure to abide by the Code of Conduct as decided by the Board of Directors; or Sublessee breaches any other term or condition of this Sublease. WAIVER OF JURY TRIAL AND ATTORNEY’S FEES AND COSTS. SUBLESSEE, SUBLESSOR, AND LANDLORD WAIVE ANY RIGHT TO TRIAL BY JURY OR TO HAVE A JURY PARTICIPATE IN RESOLVING ANY DISPUTE, WHETHER SOUNDING IN CONTRACT, TORT, OR OTHERWISE, BETWEEN SUBLESSOR, SUBLESSEE, AND OR LANDLORD ARISING OUT OF THIS SUBLEASE, THE LEASE, OR ANY OTHER INSTRUMENT, DOCUMENT, OR AGREEMENT EXECUTED OR DELIVERED IN CONNECTION HEREWITH OR THE TRANSACTIONS RELATED HERETO. In the event that any suit or action is commenced under or in relation to this Sublease or the Lease, including without limitation, to enforce any provision in this Sublease or the Lease, the prevailing Party in such dispute shall be entitled to recover from the non-prevailing Party all fees, costs and expenses incurred in enforcing any right with respect to this Sublease or Lease, including, without limitation, reasonable attorney’s fees and costs and expenses of any appeals. ENTIRE AGREEMENT. This Sublease (and the Lease) constitutes the complete agreement of Sublessor and Sublessee with respect to the subject matter hereof. No representations, inducements, promises or agreements, oral or written, have been made by Sublessor or Sublessee, or anyone acting on behalf of Sublessor or Sublessee, which are not contained herein, and any prior agreements, promises, negotiations, or representations are superseded by this Sublease. This Sublease may not be amended except by an instrument in writing signed by the Parties hereto. SEVERABILITY. Each provision contained in this Sublease shall be construed to be separate and independent and the breach of any provision by Sublessor shall not discharge or relieve Sublessee from Sublessee’s responsibility to observe and perform each of his/her obligations under this Sublease. If any clause or provision of this Sublease is illegal, invalid, or unenforceable under present or future laws, then and in that event, it is the intention of the Parties hereto that the remainder of this Sublease shall not be affected thereby. It is also the intention of the Parties to this Sublease that in lieu of each clause or provision of this Sublease that is illegal, invalid, or unenforceable, there be added, as a part of this Sublease, a clause or provision as similar in terms to such illegal, invalid or unenforceable clause or provision as may be possible and be legal, valid and enforceable. In consideration of my being a Sublessee, and being permitted by The Office-A Private Social Club LLC (“The Office”), a Colorado limited liability company, Sublessor, and property owner (“Lessor”), to use and enjoy the property located at 6886 S. Yosemite St., Centennial, Colorado 80112, together with common areas thereon (hereinafter “Property”), to engage in any and all Activities authorized by The Office, I, the undersigned, Sublessee, agree to be bound by the following Waiver, Release Indemnity Agreement and Sublease Agreement: By signing this Waiver, Release Indemnity Agreement and Sublease Agreement, I agree to use the Property, together with improvements and personal property thereon, only for the Activities and for no other purpose and affirm that I understand the risks, hazards, and dangers of the Activities. I understand and agree that The Office, Lessor, and their officers, directors, managers, sublessees, owners, employees, agents, and attorneys (hereinafter “Released Parties”) make no warranties whatsoever, either express or implied, and do not warrant that the Property, and any improvements or personal property located thereon, used by me or any third party during the Activities are fit for a particular purpose. My participation in the Activities is purely voluntary, no one is forcing me to participate, and I elect to participate in spite of the risks, hazards and dangers of the Activities. I AM VOLUNTARILY USING THE PROPERTY WITH FULL KNOWLEDGE OF THE INHERENT RISKS, HAZARDS, AND DANGERS INVOLVED AND HEREBY ASSUME AND ACCEPT ANY AND ALL RISKS OF PROPERTY DAMAGE, BODILY INJURY (EMOTIONAL AND PHYSICAL), OR DEATH. I, for myself, my heirs, successors, executors, subrogates, and assigns hereby KNOWINGLY AND INTENTIONALLY WAIVE AND RELEASE the Released Parties from and against any and all claims, demands, causes of action, rights of action, liabilities, losses, suits, damages, or expenses (including reasonable attorneys’ fees) whether for property damage, injury (emotional and physical), or death (hereinafter “Claims”), and whether such Claims are brought by me or a third party, which Claims are related to, arise out of, or are in any way connected with my participation in the Activities, the NEGLIGENCE of the Released Parties or the NEGLIGENT OR INTENTIONAL CONDUCT of a third party (including, without limitation, the Sublessee, other guests, or non-sublessees and non-guests), of any kind or nature, whether foreseen or unforeseen, directly or indirectly resulting from my participation in the Activities, others’ participation in the Activities, or from the use of the Released Parties’ Property, improvements thereon, and personal property in conducting the Activities. I, for myself, my heirs, successors, executors, subrogates, and assigns hereby further KNOWINGLY AND INTENTIONALLY AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS, the Released Parties from and against any and all Claims brought by any third party which Claims are related to, arise out of, or are in any way connected with my participation in the Activities, including the NEGLIGENCE of the Released Parties or the NEGLIGENT OR INTENTIONAL CONDUCT of a third party (including, without limitation, the Sublessee, other guests, and non-guests), of any kind or nature, whether foreseen or unforeseen, directly or indirectly resulting from said third party’s participation in the Activities or from such third party’s use of the Released Parties’ Property, improvements thereon, and personal property in conducting the Activities. I HAVE CAREFULLY READ, CLEARLY UNDERSTAND, AND VOLUNTARILY SIGN THIS WAIVER, RELEASE, INDEMNITY AGREEMENT AND SUBLEASE AGREEMENT.
